This paper examines the shareholder primacy norm as a widely acknowledged impediment to corporate social responsibility and explores the role of business schools in promoting the SPN but also potentially as an avenue for change by addressing misconceptions about shareholder primacy and the purpose of business. We start by explaining the SPN and then review its status under US and UK laws and show that it is not a likely legal requirement, at least under the guise of shareholder value maximization. (...) This is in contrast to the common assertion that managers are legally constrained from addressing CSR issues if doing so is inconsistent with the economic interests of shareholders. Nonetheless, while the SPN might be muted as a legal norm, we show that it is certainly evident as a social norm among managers and in business schools—reflective, in part, of the sole voting rights of shareholders on corporate boards and of the dominance of shareholder theory—and justifiably so in the view of many managers and business academics. We argue that this view is misguided, not least when associated with claims of a purported legally enforceable requirement to maximize shareholder value. We propose two ways by which the influence of the SPN among managers might be attenuated: extending fiduciary duties of executives to non-shareholder stakeholders and changes in business school teaching such that it covers a plurality of conceptions of the purpose of the corporation. The essay replies to comments by Finnis, Gardner and Endicott, on my book, Law as a Moral Idea. It is questioned whether Finnis is right to suggest that governance by law is a requirement of justice. It is suggested that Hart's positivism may have rested upon an unduly private conception of morality. Gardner's suggestion that Law as a Moral Idea falsely manufactures disagreement with Hart is rejected, principally by pointing out that Gardner focuses upon only one issue, where the book (...) already acknowledges that Hart might conceivably agree, and ignores other issues where the disagreement with Hart seems indisputable. In response to Endicott, it is acknowledged that 'politics' could be understood as a moral idea comparable to the idea of 'law', but denied that this robs either thesis of interest. The nature of doctrinal reasoning and law's justificatory force is then discussed. (shrink)

In Morality and Socially Constructed Norms, Valentini searches for a unifying principle that underlies whatever genuine obligations we might have to obey the norms of any and all social practices, ranging from line queueing norms, through offsides rules in soccer, to obligations not to break the law. I argue that this search is driven, and distorted, by a commitment to what Bernard Williams labeled the ‘morality system’. Once we see this, we should question the value of the unifying project. Most (...) social norms can be considered on their own terms, as part of a rich and variegated ethical life, without subsuming them under the question of whether others’ moral rights are at stake. Similarly, political obligation needs to be understood in relation to the practical activity of politics, not as an abstract moral quandary. (shrink)

There were five kinds of cyber deterrence presented at the workshop on Landscaping strategic cyber deterrence, hosted at the Oxford Internet Institute. They were the well-studied areas of deterrence by ‘punishment’ and ‘denial’, and the novel concepts of deterrence by ‘association’, ‘norms and taboos’, and finally, ‘entanglement’. In the following workshop commentary, I present these five kinds of deterrence and explain them in light of recent developments in the academy and industry. I argue for analytical congruence between all three novel (...) concepts, since they aim to alter the behaviour of actors by adding a social cost in response to breaking norms and conventions. Throughout, I argue that we are beginning to understand how cyber deterrence works, both in theory and practice, and when all concepts are taken together, they become more than the sum of their parts. Finally, I point out an omission of the workshop, where computational modelling and simulation could be added to the landscape of strategic cyber deterrence. (shrink)

A recent decision by several Australian State politicians to support a parliamentary review of artificial water fluoridation has an intensified debate on the public health intervention. While there is a majority agreement among Australian dentists and other health professionals that adequate enamel fluoride is essential for dental health, the ethics of artificial fluoridation of public water supplies as a contemporary vehicle for facilitating adequate supply of fluoride to teeth is highly contested. Opponents of artificial water fluoridation insist that there are (...) many alternative sources of fluoride, that mandatory water fluoridation violates the ethical principle of autonomy and that water fluoridation is not only expensive and unnecessary but also may endanger health by causing fluorosis and, potentially, hypothyroidism and pathological bone fractures. In contrast, proponents of water fluoridation posit that mandatory water fluoridation facilitates health equity and that the benefits accruing to society from prevention of dental caries (beneficence principle) outweighs impairment of individual autonomy. This article utilizes Childress’ ‘justificatory conditions’ to evaluate the ethical appropriateness of artificial water fluoridation in Australia. The author concludes that there is insufficient ethical justification for artificial water fluoridation in Australia. (shrink)

A theodicy is the attempt to discern God's reasons for permitting evil, whereas the antitheodicy view rejects all such attempts outright. This chapter explores two sets of arguments that could be offered in support of antitheodicy. The first group of arguments concerns the morality of theodicy, and seeks to show that theodicy‐making conflicts with or undermines central aspects of morality – for example, the motivation to fight against gratuitous evil. The second group of arguments point out nonmoral (e.g., conceptual or (...) metaphysical) failings in theodicy, such as the unduly anthropomorphic notion of God usually at work in theodicies. Marx believed that what most clearly distinguished him and Engels from the nineteenth-century French socialists was that their version of socialism was “scientific” while the latters' was Utopian. What he intended by this contrast is roughly the following: French socialists such as Proudhon and Fourier constructed elaborate visions of a future socialist society without an adequate understanding of existing capitalist society. For Marx, on the other hand, socialism was not an idea or an ideal to be realized, but a natural (...) outgrowth of the existing capitalist order. Marx's historical materialism is a systematic attempt to discover the laws governing the inner dynamics of capitalism and class societies generally. Although this theory issues in a prediction of the ultimate triumph of socialism, it is a commonplace that Marx had little to say about the details of post-capitalist society. Nevertheless, some of its features can be discerned from his critical analysis of capitalism and what its replacement entails. (shrink)

The article considers the nature of legalistic, or formal, conceptions of the rule of law, focusing particularly on the work of Joseph Raz and Albert Venn Dicey. It asks how such apparently narrow conceptions are generated, and how far they can resist including broader social claims. It concludes that the rationale behind legalistic conceptions compels them to address issues of poverty and the literacy of the law's subjects. However, legalistic conceptions of the rule of law can still avoid sliding into (...) the wider non‐legalistic models advanced by writers such as T. R. S. Allan. (shrink)

Background: We were finding volunteers for functional magnetic resonance imaging studies with abnormalities requiring referral surprisingly frequently. The bioethics surrounding the incidental findings are not straightforward and every imaging institution will encounter this situation in their normal volunteers. Yet the implications for the individuals involved may be profound. Should all participants have review of their imaging by an expert and who should be informed? Methods: The normal volunteers that were imaged with magnetic resonance (MR) which were reviewed by a consultant (...) neuroradiologist. All participants completed a volunteer consent form in addition to a standard departmental MR safety screening form. The volunteer screening form requires the general practitioner details to be completed and asks the participant to consider closely the possibility and implications of finding an unexpected but potentially serious abnormality before signing. Results: 525 different individuals were scanned as normal volunteers, the mean age was 35-years and 330 were males. Of these 525, 46 had definite significant abnormalities (8.8%), mean age 50-years. Conclusion: We have found a high rate of incidental abnormalities amongst individuals participating in imaging studies at our institution. It is our current practice to inform the research study participant of the findings, counsel them and inform their primary care physician. We think that it is advisable for researchers utilising MR imaging of the brain to have access to trained neuroradiologists, a protocol in place to deal with this problem and take consent in a way that allows the participant to realise the possibility of an abnormal finding. The automatic verification of large parts of mathematics has been an aim of many mathematicians from Leibniz to Hilbert. While Gödel's first incompleteness theorem showed that no computer program could automatically prove certain true theorems in mathematics, the advent of electronic computers and sophisticated software means in practice there are many quite effective systems for automated reasoning that can be used for checking mathematical proofs. This book describes the use of a computer program to check the proofs of several celebrated (...) theorems in metamathematics including those of Gödel and Church-Rosser. The computer verification using the Boyer-Moore theorem prover yields precise and rigorous proofs of these difficult theorems. It also demonstrates the range and power of automated proof checking technology. The mechanization of metamathematics itself has important implications for automated reasoning, because metatheorems can be applied as labor-saving devices to simplify proof construction. (shrink)

Can market socialism realize the socialist vision of the good society by ending exploitation and alienation, substantially reducing inequalities of wealth and income, ensuring full employment, and correcting other market irrationalities? A comparative analysis of the organizational forms of capitalism (notably the small owner?operated firm and the large corporation) and market socialism (the self?managed cooperative that rents its capital from the state) reveals the relative efficiencies of capitalism in reducing transaction costs, in turn reducing the opportunities for exploitation. By contrast, (...) the transaction cost inefficiencies of the organizations of market socialism permit and encourage forms of exploitation that are precluded or discouraged under capitalism. The relation of the special and the general principle of relativity to the principle of covariance, the principle of equivalence and Mach's principle, is discussed. In particular, the connection between Lorentz covariance and the special principle of relativity is illustrated by giving Lorentz covariant formulations of laws that violate the special principle of relativity: Ohm's law and what we call “Aristotle's first and second laws.” An “Aristotelian” universe in which all motion is relative to “absolute space” is considered. The first (...) law: a free particle is at rest. The second law: force is proportional to velocity. Ohm's law: the current density is proportional to the electrical field strength. Neither of these laws fulfills the principle of relativity. The examples illustrate, in the context of Lorentz covariance and special relativity, Kretschmann's critique of founding Einstein's general principle of relativity on the principle of general covariance. A modification of the principle of covariance is suggested, which may serve as a restricted criterium for a physical law to satisfy Einstein's general principle of relativity. Other objections that have been raised to the validity of Einstein's general principle of relativity are based upon the preferred state of inertial frames in the general, as well as in the special theory, the existence of tidal effects in “true” gravitational fields, doubts as to the validity of Mach's principle, whether electromagnetic phenomena obey the principle, and, finally, the anisotropy of the cosmic background radiation.
